DL Pages Terms & Services

These are the DL Services terms and conditions for Shopify design and build work, and for using this website. Every part starts with a one-line summary in plain English.

The short version

Six things to know before we work together, including my web design payment terms. The full terms below are what we both agree to.

1. About these terms

Link to About these terms

In short: These terms and your quote make up our agreement. If they ever disagree, your quote wins.

These terms cover the Shopify design and build work I do for you, and your use of this website.

They apply once you accept a quote from me, whether you accept by email, by message or by paying the deposit. Your quote and these terms together are our whole agreement. If your quote says something different from these terms, the quote wins.

I work with legitimate businesses wherever they're based, including new ones that haven't started selling yet. By hiring me, you confirm you're doing so for your business.

Anything that changes the price, the scope or the dates needs to be agreed in writing. An email or a message is fine.

I may update these terms from time to time, and the date at the top shows when they last changed. Your project follows the version in place when you accepted your quote, unless we both agree otherwise in writing.

2. Who I am

Link to Who I am

In short: DL Services is me, Dom. You'll deal with me from your first message to launch.

DL Services is the trading name of Dom (Dominykas), a sole trader based in Cambridgeshire, UK. In these terms, "I" and "me" mean me, and "you" means the business hiring me.

I'm your only point of contact, and I'm responsible for all the work on your project. Lukas, who works with me at DL Services, handles advertising and finding new clients. If Lukas or anyone else helps with part of your project, I'll tell you first, I stay responsible for their work, and they keep your information confidential.

You can reach me through the contact page on this site. I reply within a day.

3. Quotes and what's included

Link to Quotes and what's included

In short: Before any work starts, you get a written quote with what's included, the price and the timeline.

Before I start, I'll send you a written quote. It sets out what I'll design and build (the scope), the price and the timeline.

A quote is valid for 30 days. After that, I may need to update it.

Anything not listed in your quote isn't included. If you'd like something extra, I'll quote it first, and I'll only start once you've agreed.

4. Payment

Link to Payment

In short: 50% to book your project, 50% before it goes live. Late payments pause the work.

Unless your quote says otherwise:

  • 50% deposit to book your project. I start work once it has arrived.
  • 50% balance before launch. Your new store, theme or pages go live once it has been paid.

Invoices are due within 7 days unless the invoice says otherwise. You can pay by bank transfer or another method we agree. Prices are in pounds sterling (GBP) unless your quote says otherwise.

If an invoice is late, I may pause work until it's paid, and the timeline moves back by the same amount. I may also claim the interest and compensation that UK law allows on late business payments.

5. What I need from you

Link to What I need from you

In short: Your content, access to your store and feedback, on time. Delays on your side move the launch date.

To keep your project on track, I'll need you to:

  • Send your content (text, product details, images, logo and brand colours) by the dates we agree.
  • Give me access to your Shopify admin, usually a staff account with the permissions I need. Never send me your main account password.
  • Give clear feedback and make decisions within the times we agree.
  • Make sure you have the right to use everything you send me, like photos, fonts, logos and text.

You're responsible for running your store: your products and what you say about them, your prices, your store policies (like refunds and privacy) and following the laws that apply to your business. I can design and build the pages for these, but I don't write legal policies or give legal advice.

Once the project is finished, you can remove my access at any time.

6. Timelines and delays

Link to Timelines and delays

In short: A typical project launches in 2–3 weeks. Your quote gives an estimate, not a guarantee.

A typical project launches in 2–3 weeks, depending on its size. Your quote gives the timeline for your project. It's an honest estimate, not a guarantee.

The timeline depends on getting your content, access and feedback on time. If they arrive late, the launch date moves too, and your project may need to wait for a new slot.

If you don't reply or send what I need for 14 days, I'll pause your project. If I still haven't heard from you after 60 days, I may close it and invoice for the work done so far. Your deposit counts towards that invoice.

If something outside my control delays the work, like illness, a power or internet cut, or a Shopify outage, I'll tell you as soon as I can and we'll agree a new date. Neither of us is responsible for delays caused by things we can't reasonably control.

7. Revisions and changes

Link to Revisions and changes

In short: Two rounds of changes are included. Extra rounds and new requests are quoted first.

Your price includes two rounds of changes. A round is one list of everything you'd like changed, sent together. I make all of it, then show you the result. Fixing something I got wrong never counts as a round.

New requests aren't revisions. A new page, a new feature or a different design direction is new work, and I'll quote it before I start.

Extra rounds and new work may also move your launch date. I'll tell you the price and the new date before you decide.

8. Apps, themes and other costs

Link to Apps, themes and other costs

In short: You pay for your Shopify plan, apps, paid themes and fonts yourself, so they stay in your name.

Some things come from other companies: your Shopify plan, apps, paid themes, fonts, stock images and domain names. They aren't included in my price unless your quote says so.

You pay for them directly, in your own name, so they stay yours after the project. If I ever buy something for your store, I'll only do it with your OK, and I'll pass the cost on at exactly what I paid.

Each of these comes with its own terms and licence. For example, a paid theme may only be licensed for one store. You need to follow those terms. I'm not responsible for how these products work, what they cost, or changes their makers make.

9. Sign-off and launch

Link to Sign-off and launch

In short: You check the finished work before it goes live. It launches once the final payment is in.

When the work is ready, I'll show it to you before anything goes live. You then have 7 days to send your list of changes (if you have a round left) or to approve it.

If I don't hear from you within those 7 days, or if you publish the work yourself, I'll treat it as approved.

Once you've approved the work and paid the final invoice, I'll launch it on your store, or help you launch it.

10. After launch

Link to After launch

In short: For 14 days after launch, I fix bugs in my work as part of the price. Ongoing support is optional and paid.

If something I built doesn't work as we agreed, tell me within 14 days of launch and I'll fix it as part of the original price.

This doesn't cover:

  • Changes made by you or anyone else after launch.
  • Apps, themes or code added after launch.
  • Updates or changes made by Shopify, app makers or other companies.
  • New features or design changes.

Ongoing support isn't included, but we can agree it separately. I'll quote it before I start.

11. Who owns the work

Link to Who owns the work

In short: Once you've paid in full, the custom design and code I make for you are yours.

Once you've paid everything you owe for the project, I transfer to you the copyright in the custom design and code I made for your store. If you ever need it, I'll sign a short document confirming this.

I keep the rights to my general know-how and to the tools and reusable code I use across projects. Where any of them are part of your store, you get a permanent licence to keep using them there.

Apps, paid themes, fonts and stock images stay under their makers' licences (see Apps, themes and other costs).

Until you've paid in full, you can use the work to review it, but not to run your store.

Once your project has launched, I may show it in my portfolio and on social media, for example screenshots, your store's name and a short description. I'll never show anything confidential. If you'd rather I didn't, just tell me and I'll leave it out or take it down. I won't add a credit or link to your store unless you agree.

12. No guaranteed results

Link to No guaranteed results

In short: I'll build your store with care, but I can't promise sales, rankings or ad results.

I'll do the work with reasonable care and skill, and build what we agreed.

What I can't promise is results. Sales, conversion rates, search rankings and the results of any advertising depend on things I don't control, like your products, prices, marketing, competition and customers. Any examples or ideas I share are just that, not promises.

13. Cancelling and refunds

Link to Cancelling and refunds

In short: Cancel before I start and you get your deposit back. After that, the deposit covers the work done.

You can cancel your project at any time by telling me in writing.

  • Before I start work: I'll refund your deposit, minus anything I've already bought for your store with your OK.
  • After I start work: I keep the deposit, because I've set time aside for your project and started on it. If the work done so far is worth more than the deposit (based on your quote), I'll invoice the difference.

Once everything you owe is paid, I'll hand over the work done so far, under the same rules as Who owns the work.

Because the work is made for you and you check it as we go, I don't give refunds for work you've approved. If something I built doesn't work as agreed, I'll fix it (see After launch).

14. Liability

Link to Liability

In short: I'm not responsible for lost sales or for problems I didn't cause. Anything else is capped at your project price.

I'm not responsible for:

  • Lost sales, profits, revenue, savings, business or opportunities.
  • Lost or damaged data, or any indirect losses.
  • Problems caused by changes made by you or anyone else.
  • Problems caused by Shopify, apps, themes, payment providers or anything else I don't control.
  • Problems caused by content, information or instructions you gave me.

For anything else, the most I'll owe you in total is what you paid me for the project.

Nothing in these terms limits anything the law doesn't allow to be limited, such as liability for death or personal injury caused by negligence, or for fraud.

15. Confidentiality and your data

Link to Confidentiality and your data

In short: We both keep each other's private information private. I only use your customers' data to do your project.

We'll both keep anything the other shares in confidence private, during the project and after it. This doesn't cover information that's already public, or anything the law requires us to share.

While I work on your store, I may be able to see your customers' personal data, like names, addresses and orders. When that happens:

  • I only use it to do your project, and only in the way you ask.
  • I keep it secure and confidential, and don't copy it out of your store unless the work needs it.
  • I don't share it with anyone else without your OK.
  • I tell you without delay if I find out it's been lost or seen by someone who shouldn't have seen it.
  • I help you if a customer asks about their data, as far as the work allows.
  • If you ask, I'll show you how I keep it safe.
  • When the project ends, I delete any copies I have.

You're responsible for your store's own privacy policy, and for being allowed to collect your customers' data in the first place.

16. Ending our agreement

Link to Ending our agreement

In short: Either of us can end the project if the other seriously breaks these terms. You pay for the work done until then.

Either of us can end the project by telling the other in writing, if the other seriously breaks these terms and doesn't put it right within 14 days of being asked. Not paying an invoice counts as a serious break.

I can also stop work straight away if a project turns out to be illegal, misleading or harmful, or if I'm treated abusively.

If the project ends early:

  • You pay for the work done up to that point (based on your quote). Your deposit counts towards it.
  • If I end it for a reason that isn't your fault, I'll refund anything you've paid for work I haven't done.
  • Once everything you owe is paid, I'll hand over the work done so far.

Parts of these terms that are meant to last, like ownership, confidentiality and liability, still apply after the project ends.

17. The law and disputes

Link to The law and disputes

In short: These terms follow the law of England and Wales. If there's ever a problem, we'll talk first.

If there's ever a problem, please tell me straight away. We'll both try to sort it out by talking first.

These terms, and any disagreement about them, are governed by the law of England and Wales, wherever you're based. Disputes will be dealt with by the courts of England and Wales.

If any part of these terms can't be enforced, the rest still applies.

18. Using this website

Link to Using this website

In short: You're welcome to browse and share links. Please don't copy my designs, text or code.

These rules apply to everyone who uses this site.

  • Everything on this site, including the designs, text, code and images, belongs to me or is used with permission. You can view it and share links to it, but please don't copy or reuse it without asking.
  • Some designs on this site are concept work: examples I've made to show what I can do, not client projects.
  • I try to keep the information here accurate and up to date, but it's general information, not an offer. The details of any project are in its quote.
  • I can't promise the site will always be available or work without errors.
  • Links to other websites are there to help you. I'm not responsible for their content.
  • If you contact me through this site, I'll only use your details to reply to you and, if we work together, to run your project.

Questions about these terms?

Ask me anything before you accept a quote. I'll explain any part of this UK web design contract in plain English.
